Required Entity Designators

Must contain the words "limited liability company" or the abbreviations "LLC" or "L.L.C.," the words "limited company" or the abbreviations "LC" or "L.C.," or "Ltd. liability company," "Ltd. liability co." or "limited liability co." A low-profit LLC must instead use "L3C," "l3c," "low profit ltd. liability company," "low profit ltd. liability co." or "low profit limited liability co."

Distinguishability Standard

Three restrictions in § 17-29-108(a): the name may not imply a purpose other than those in the articles of organization; it may not be the same as or deceptively similar to any trademark or service mark registered in Wyoming, and must be distinguishable upon the Secretary of State's records as provided in W.S. 17-16-401; and it may not imply the company is organized under the Business Corporation Act, the Statutory Close Corporation Supplement or the Nonprofit Corporation Act. Under § 17-16-401(f) a name is distinguishable if it has one or more different letters or numerals, or a different sequence of them; the five differences that do NOT distinguish are entity-type words and abbreviations (corporation, company, incorporated, limited partnership, L.P., limited, ltd., limited liability company, limited company, L.C., L.L.C.), the words "the," "and" or "a," punctuation and special characters, capitalization, and singular versus plural forms. Under § 17-16-401(c), which the LLC Act incorporates, an indistinguishable name may be authorized only on the other holder's irrevocable written consent accompanied by an undertaking to change its own name to something distinguishable, or on a certified final court judgment establishing the applicant's right; § 17-16-401(d) separately allows using another entity's name after a merger, a reorganization, an acquisition of substantially all assets including the name, or an affiliate's consent tied to a corporate action that ends the coexistence within 120 days.
